Terms and conditions
The short version: fixed prices excl. VAT, a third to start and the balance at delivery, and the logo you choose is fully yours once the invoice is paid.
Who we are
EYN SRL, a Belgian company registered under BCE and VAT number BE 0756 645 332, with its registered office at Avenue Arnaud Fraiteur 15-23, 1050 Ixelles, Belgium. The quote is the agreement
These terms travel with every quote. Paying the deposit, or confirming the quote in writing, accepts both in the version shown at the top of this page. Where your quote is more specific on a point, the quote applies and these terms cover the rest.
What you get
Your quote lists the scope. The logo at €550 covers hand sketches and a moodboard, three directions to compare, the refinement of the one you choose, light and dark versions, a short usage guide, and the final files in SVG, PDF, EPS and PNG. À la carte options carry their price on the pricing page and are confirmed in the quote. Anything outside it, from layered working files to print production or a trademark search, is welcome as a paid addition.
Websites
A website project starts from your identity and is quoted on its scope: the pages, the features and the content management you need. The quote lists what is built, what is set up, and what stays outside it.
You provide the texts and the photographs. I write the texts as a paid option, and use image banks where a photograph is missing. Translations are an option too, quoted per language.
Payment runs in three equal parts: a third to start, a third when the design is approved, and a third when development is finished and the site is ready to go live.
Once the site is live, any bug in the delivered work is fixed at no cost for one month. Changes and additions after delivery are invoiced by the hour, at the rate stated in your quote.
Hosting depends on the solution chosen, with or without a content management system. You can host the site yourself, or I set it up and look after it and invoice it once a year at the price stated in your quote. The domain is registered in your name either way.
The site becomes yours in full once the last invoice is paid: the code, the content and the domain, handed over on request.
Revisions and timing
Three directions come first, then we refine the one you select. A round means one consolidated set of feedback from one contact person, and the fixed price covers them all: we refine the direction you chose until it is right, with no limit on the number of rounds. Most logo projects run two to three weeks from a complete brief. The clock pauses while a step waits on your feedback, and a step still waiting after ten working days counts as approved so the project keeps its place in the schedule.
Prices and payment
Prices are in euro, excl. VAT: Belgian VAT at 21% where it applies, reverse charged for clients elsewhere in the EU with a valid VAT number. A 33% deposit starts the work, the balance is invoiced at final delivery, and invoices are payable within 15 days. Past the due date, statutory interest and a fixed €40 recovery indemnity apply by right. If a project stops once it has started, the deposit stays acquired and the work performed is invoiced.
Your logo becomes yours
Rights stay with EYN SRL until the last invoice is paid. On full payment you receive the economic rights in the mark you selected: to reproduce it, adapt it to your supports, distribute and publish it, use and file it as a trademark, and pass it on with your business. Worldwide, for the full legal term, on every medium known at the date of the quote, and the price of the project covers it.
The directions you did not select stay ours. Moral rights cannot be transferred under Belgian law, so a substantial redraw is discussed with us first, and we may ask for a design credit where one is customary.
Working through an agency
Ordering for your own client? The same rights come to you, with the right to pass them on to that client, and you are free to present the work under your own name. Payment stays yours in full, whatever happens between you and them.
Portfolio
After delivery, or after your public launch, we may show the work in our portfolio and our communications. A note in writing keeps a project private, and a longer confidentiality commitment is set out in the quote.
What you send us, and trademarks
You confirm that the names, texts, images and assets you send may be used for the project, and you cover us for any third-party claim about them. A design project does not include a trademark search, so before you file a mark or commit to a large print run we recommend one with BOIP or EUIPO, which we are happy to arrange separately.
Liability and confidentiality
Our work is an obligation of means, and our liability for a project is capped at the amount invoiced for it. Indirect damage stays outside that, in particular lost profit and the refusal of a trademark filing. Both sides keep the information exchanged for the project confidential.
Data, ending a project, and the legal bits
We use your contact and project data only to quote, run and invoice the work, and the details are in our privacy policy. Either side can stop in writing: the work performed is invoiced, and rights transfer only on full payment. Belgian law applies and the courts of Liège have jurisdiction. These terms exist in French and English, the French version prevails, and the version in force on the date of your quote is the one that applies to your project.
